# DocuDune SDK License Agreement

This is a legal agreement between you ("Licensee") and WholeBit Solutions
("Licensor"). By installing, copying, or using the DocuDune NuGet package
("Software"), you agree to be bound by the terms of this License Agreement
and the DocuDune Terms of Service available at
[https://docudune.com/terms](https://docudune.com/terms).
If you do not agree, do not install or use the Software.

## 1. License Grant
Subject to the terms of this Agreement and the Terms of Service, Licensor
grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable
license to install and use the Software solely in connection with a valid
DocuDune account that holds sufficient paid credits.
## 2. Credit Requirement
Use of the Software requires **paid credits** on your DocuDune account.
Each document conversion consumes credits from your account balance.
Conversions are not permitted if your account has insufficient credits
or no active credit balance. Credit pricing, packs, and expiration
terms are governed by the Terms of Service.
## 3. Permitted Use
You may:
- Install and use the Software in applications owned or controlled by you.
- Integrate the SDK into your internal business workflows or hosted
services for your end users, provided all conversions are funded by
your account credits.
- Receive updates and patches within your licensed version range during
an active subscription or credit balance.
## 4. Restrictions
You may **not**:
- Redistribute, sublicense, rent, lease, lend, or resell the Software
or its components as a standalone product or service.
- Decompile, reverse engineer, disassemble, or otherwise attempt to
derive the source code of the protected DocuDune conversion engine.
- Remove, alter, or obscure any proprietary notices, labels, or marks.
- Use the Software to circumvent credit requirements, rate limits, or
usage restrictions.
- Use the Software in a manner that violates applicable law or the
Terms of Service.
## 5. Intellectual Property
The Software and all copies thereof are proprietary to Licensor and title
thereto remains in Licensor. All applicable rights to patents, copyrights,
trademarks, and trade secrets in the Software are and shall remain in
Licensor.
## 6. Term and Termination
This license is effective until terminated. Licensor may terminate this
license immediately if you fail to comply with any term of this Agreement
or the Terms of Service. Upon termination, you must destroy all copies of
the Software in your possession.
## 7. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
## 8. Limitation of Liability
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OF
THE SOFTWARE. LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID
BY LICENSEE FOR CREDITS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
## 9. Governing Law
This Agreement is governed by the laws of Romania. Any disputes shall be
resolved in the courts of Cluj-Napoca, Romania.
## 10. Entire Agreement
This Agreement, together with the Terms of Service, constitutes the entire
agreement between the parties regarding the Software and supersedes all
prior agreements.
